1. Acceptance of Terms
By registering for an account, starting a trial, purchasing a subscription, or using the campaign budget tools at https://budgetrelio.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not register for or use the service.
These terms constitute a legally binding agreement between you (or the company you represent) and Uptown Portal LLC, a Florida limited liability company doing business as BudgetRelio ("we", "us", or "our").
2. About BudgetRelio
BudgetRelio is a campaign budget planning and spend tracking SaaS application designed to help marketers, campaign managers, and organizations monitor plans, planned spend, actual costs, review flagged items, and export clean campaign reports.
3. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account or use BudgetRelio. By agreeing to these Terms, you represent that you meet these eligibility requirements.
4. Accounts and Workspace Ownership
To use the service, you must create a user account with a valid email address and password. You represent that all information provided is accurate. You are responsible for keeping your password secure and for all activity under your account.
Workspace ownership belongs to the user account that created the workspace or to whom ownership was transferred. Workspace owners control access permissions, subscription tiers, billing methods, and team membership settings.
5. Team Members and Access
Workspace owners may invite team members to collaborate on campaign budgets. Team members may have access to workspace information depending on their roles and plan limits.
The workspace owner is responsible for managing invitations, removing users who should no longer have access, and ensuring all invited team members comply with these terms.
6. Plans, Trials, and Subscriptions
BudgetRelio may offer a 14-day Team trial. No credit card is required for the free Team trial. When the trial ends, the workspace may be limited until the user chooses a paid plan. BudgetRelio may prevent repeated or abusive trial use.
7. Billing and Payment
Paid plans are billed monthly or annually based on the plan selected. Payments are processed through Stripe. Users authorize recurring charges for the selected plan and billing interval. Users can manage payment methods, invoices, subscription changes, and cancellation through Stripe where available.
8. Cancellation
You can cancel your subscription at any time through the Stripe Customer Portal or by emailing support@budgetrelio.com.
Cancellation stops future renewals. Your active paid features will remain available until the end of your current paid billing period, at which point the workspace limits will downgrade. If a subscription is unpaid, canceled, or remains past due, access to paid features may be limited or suspended.
9. Refund Policy
Paid subscriptions are billed in advance. Unless required by law or expressly stated otherwise, payments are non-refundable. Cancellation stops future renewal but does not automatically refund the current billing period. BudgetRelio may choose to provide refunds or credits at its discretion, but doing so in one case does not require it to do so in another.
Downgrades, unused time, partial months, partial years, unused features, unused seats, or unused campaigns do not automatically create refunds or credits unless shown in Stripe Checkout, Stripe Customer Portal, or required by law.
10. Plan Changes, Downgrades, and Usage Limits
Plan changes may affect available seats, campaigns, exports, branding, and team member access. If a workspace exceeds the new plan limits, BudgetRelio may pause or restrict some features until the workspace is within plan limits. On Starter, team member access is not included and extra team member access may be paused. BudgetRelio does not delete workspace data simply because of a downgrade, but access to features or team members may be limited.
11. Coupons, Promotions, and Discounts
BudgetRelio may offer discount coupons or promotional codes. These codes are applied through Stripe Checkout. Promotions are subject to terms, expiration dates, plan eligibility, and redemption limits specified at the time of issuance, and may be modified or terminated by us.
12. User Content and Data
You own the information you enter into BudgetRelio. You are responsible for ensuring that you have the right to enter that information, invite team members, and use the reports or exports created from your workspace. You are responsible for the accuracy and legality of information you enter.
13. Reports and Exports
BudgetRelio provides PDF and CSV export utilities to compile campaign summaries. You are solely responsible for reviewing and validating the accuracy of all budgets, calculations, planned spend, actual spend entries, remaining balances, and generated reports. We do not guarantee that the service, calculations, or reports are completely error-free.
14. Not Financial, Accounting, Tax, or Legal Advice
BudgetRelio is a budget planning and spend organization tool. It is not an accounting system, bookkeeping service, audit control, or tax management application.
The data and reports provided by the service do not constitute financial, accounting, investment, tax, or legal advice. You are responsible for consulting qualified CPAs, financial advisers, or attorneys to verify campaign tax treatments, corporate accounting rules, and contract terms.
15. Acceptable Use
You agree not to:
- Use the service for any illegal, fraudulent, or unauthorized purpose.
- Attempt to bypass billing logic, plan limits, security safeguards, or access controls.
- Scrape, reverse engineer, copy code patterns, or intentionally disrupt service performance.
- Upload malware, corrupt files, or submit highly sensitive financial account numbers or personal details that are not needed to track marketing campaign budgets.
16. Intellectual Property
The service, website, layouts, logos, designs, custom components, and brand assets are the exclusive property of Uptown Portal LLC and its licensors. You are granted a limited, non-transferable, revocable license to access the service according to your plan tier.
17. Feedback
If you submit feedback, suggestions, or comments to us, you agree that we may use such feedback without any compensation or obligation to you.
18. Third-Party Services
The service integrates with third-party providers (such as Stripe for payments and Google for login). Your use of these integrations is subject to the terms and privacy practices of those respective third-party providers. We are not responsible for their availability or security.
19. Service Availability
We aim to keep BudgetRelio available, but service may be interrupted for scheduled updates, database maintenance, or issues out of our control. We may modify or discontinue features, plan limits, or pricing upon reasonable notice, but will not be liable to you for doing so.
20. Termination
We may suspend or terminate your account and workspace access if you violate these terms, fail to pay subscription fees, engage in abusive usage, or cause potential legal risk to Uptown Portal LLC or other users.
21. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTOWN PORTAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, CAMPAIGN BUDGET OVERRUNS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
23. Governing Law
These Terms of Service and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflicts of law principles. Any legal actions must be brought in the courts located in Florida.
24. Changes to These Terms
We may update these Terms of Service from time to time. The updated version will be published on this page with a revised effective date. Your continued use of the service constitutes acceptance of the modified terms.
